Fairfield Dairy completes acquisition of Ladismith Cheese Company

Fairfield Dairy, a wholly owned subsidiary of the Woodlands Dairy Group, has confirmed the completion of its acquisition of 100% of Ladismith Cheese Company and its subsidiaries, following approval by the Competition Tribunal of South Africa.

The approval, granted after a positive recommendation from the Competition Commission, finalises the regulatory process for the transaction, which closed on 30 April and took effect on 1 May 2026.

The deal, first announced in November 2025, formally integrates Ladismith Cheese Company, Ladismith Powder Company, and Mooivallei Suiwel into the Woodlands Dairy Group (Woodlands).

Strategic expansion across dairy value chain

Woodlands CEO Helen McDougall told Farmer’s Weekly that the acquisition strengthens the group’s national footprint and expands its dairy product portfolio.

The group produces a wide range of dairy products, including fresh and UHT milk, yoghurt, cheese, custard, and flavoured milk, marketed under its First Choice brand and private-label retail offerings.

“This is an important milestone for our business and supports our long-term growth strategy. Ladismith brings strong regional expertise and a complementary product offering, positioning us to expand our capabilities while continuing to deliver quality, value, and innovation to our customers,” McDougall said.

She added that the integration will enhance the group’s supply chain efficiencies.

Woodlands Chairperson Lex Gutsche said the transaction significantly expands the group’s geographic and production footprint.

“This transaction will expand the group’s presence across South Africa, bringing us closer to more farmers and customers,” he said.

“I am also very pleased and proud that Woodlands is now the largest wholly South African-owned, 25% black-empowered dairy in the country, a clear testament to our belief in South Africa and its people.”

Woodlands confirmed that Ladismith Cheese Company will continue to operate under its existing brand, supported by the group’s leadership and systems.

The integration is expected to broaden product offerings, improve operational efficiency, and support long-term growth within the expanded dairy group.

Sea harvest to focus on core seafood business

Sea Harvest Group Limited, former owner of Ladismith Cheese Company, said in a press release that the disposal forms part of its strategy to reduce debt and refocus on its core seafood operations. Proceeds from the sale will be used to repay long-term debt in its South African business.

According to CEO Felix Ratheb, the transaction aligns with the company’s strategy to dispose of non-fishing assets, focus on its seafood business, and strengthen its balance sheet.
